Sample Contract

If you’re curious to see what a contract created using our confidentiality-agreement template would look like, go here for a PDF of a sample contract (opens a new window).

Bear in mind that the sample contract reflects our having made one set of choices out of many possible choices in completing the questionnaire. Making a different set of choices, to reflect a different set of circumstances, would result in a significantly different contract. That’s one advantage to using Koncision as opposed to a precedent contract you happen to have selected: you’re assured of a contract that addresses your transaction, not the transaction reflected in the precedent contract.

The sample contract may look different from contracts you’re used to. If so, it’s likely that one reason is that the layout used in the template is the MSCD numbering scheme. See the “Frequently Asked Questions.” And for reasons explained in chapter 15 of MSCD, the sample contract uses the typeface Calibri rather than a typeface you might be more familiar with.

We’re committed to these choices, but we’re also aware that when it comes to document appearance, drafters like what they’re used to. So we suggest that you try out the look of our contracts—we think it will grow on you. But if you decide that you prefer your own look, you could easily apply it to our contracts. Ultimately, it’s what the contract says that matters most.

The language in the the sample contract follows the recommendations contained in A Manual of Style for Contract Drafting. For a comprehensive display of how MSCD language is so much clearer and more concise than traditional contract language, go to this post on The Koncise Drafter to see “before” and “after” versions of a contract extract.
