Koncision Contract Automation provides two kinds of services. For a fee, users have access to our library of document-assembly templates. We also make available a range of materials free of charge on our website. It’s a condition to your use of either service that you agree to be bound by these terms.
Subscribing
You can subscribe to our template service for one transaction (this subscription lasts for three days), to update your templates (this subscription lasts for three days), or for one year. For information regarding pricing, go here. If we wish, we may refuse to accept a subscription and may refuse to accept one or more users designated by a customer.
Not Providing Legal Advice
We offer our template service to anyone who wishes to create clearer and more effective contracts, and to do so more quickly than they could otherwise. But we’re not providing legal advice—you’re responsible for the content of any contract you draft using our template service.
Your Need for Legal Advice
Anyone may use Koncision. Previously we required that each user be a lawyer or under the supervision of a lawyer, but we changed that policy in September 2011. After all, there’s relatively little in most contracts that is best left to lawyers as opposed to reasonably well-informed nonlawyers. (See this post on The Koncise Drafter.)
But our confidentiality-agreement template is intended for sophisticated users, whether lawyers or otherwise. And any user who isn’t a lawyer might well benefit from a lawyer’s input when completing a Koncision questionnaire, with the appropriate level of legal input depending on the user’s sophistication. We require anyone who subscribes to acknowledge as much.
You may decide that the best way to take advantage of what Koncision has to offer would be to have your lawyer complete the questionnaire, perhaps for a flat fee. For more on how to involve your lawyer, see this blog post.
Limitation of Liability
Although we are confident that our products are superior to what traditional drafting has to offer, we cannot offer perfection:
- Any questionnaire you complete as part of the template service is unlikely to reflect all possible deal permutations.
- The guidance we provide doesn’t attempt to be comprehensive, doesn’t reflect the law of all the different jurisdictions, and might not be up to date, although we do our best to make sure that it is.
- Koncision’s template service is a pioneering initiative, so we expect to incorporate improvements over time.
Furthermore, as noted above we’re not in the business of providing legal advice.
So if you demonstrate to a court that you’ve been harmed in some way by our template service, your damages will be limited to the fee you paid for the year in which the alleged harm took place.
Copyright
If you subscribe to use Koncision for a single transaction or you subscribe for a year, we grant you a license to use just once any contract created using our template service. Copying any part of it for purposes of any other contracts you create, during your subscription and afterwards, would constitute breach of Koncision’s copyright.
But if you subscribe for purposes of updating your own templates, we grant you a perpetual license to copy text from any Koncision output document for purposes of creating or revising your own templates.
For purposes of customers that are organizations, any license accompanying a subscription applies organization-wide: If one employee creates a draft contract using our template service, that employee can give the draft contract to another employee to use as permitted under the terms of the subscription.
Security
When you create a draft contract using our template service, the draft contract and the completed questionnaire are stored on ContractExpress.com, the document-assembly system that powers our template service. Deleting them makes them no longer accessible at ContractExpress.com, but copies may remain in backup media. For information on the security measures used to protect any such information, go here.
We weren’t involved in establishing those security measures, and we aren’t involved in maintaining them. And sometimes even the best security measures fail to prevent misappropriation of confidential information. So we can’t guarantee the security of your information. If confidentiality is essential, we recommend that you use code names and redact any other confidential information.
Privacy
Our privacy policy is part of these terms of service. For a copy, go here.
No Refunds
We’re not required to refund any portion of your fee for a one-year subscription if you elect to stop using our template service before the year is up.
ContractExpress.com Terms of Use
Using our template service requires that you use ContractExpress.com, which is operated by Business Integrity Ltd. It’s a condition to your use of ContractExpress.com that you agree to be bound by ContractExpress.com’s terms of use. Go here for a copy.
Changes to this Policy
Any nontrivial changes to the policy will be published on this website. If afterwards you continue to use our template service or continue to visit our website, you will be consenting to the terms of the revised policy.
